Terms of Use
Effective date: [DATE] · Last updated: [DATE]
1. Agreement to these terms
These Terms of Use govern your access to thornebridgestrategies.com and to the tools, simulations, publications, and related services we provide (together, the "Services"). By using the Services, you agree to these terms. If you do not agree, do not use the Services.
2. Who we are
Thornebridge Strategies is a veteran-owned practice providing digital infrastructure and advisory services to economic development organizations. Entrepreneur education is provided by our sister organization, Thornebridge Academy, under its own terms at thornebridgeacademy.com. You can reach us at info@thornebridgeacademy.com.
3. Eligibility
The Services are intended for adults 18 years or older and for professional and governmental use. By using the Services, you confirm you meet these requirements.
4. Information, not professional advice
There are no guarantees in economic development or in business, and we do not make any. Our publications, briefs, simulations, and tools are informational and educational. They are not legal, financial, accounting, procurement, or other professional advice, and they are not a promise of program outcomes. Decisions about public programs and funds remain yours and your organization's. Before acting on anything you read or generate here, apply your own professional judgment and, where appropriate, consult qualified advisors.
5. AI-powered tools
Some of our Services use artificial intelligence, including readiness assessments and advisory assistants. AI output can be incomplete, outdated, or wrong. It is a starting point for professional judgment, not a substitute for it. Do not treat AI output as professional advice, and verify anything material before relying on it, particularly in decisions involving public funds. We do not accept liability for decisions made based on AI-generated content.
6. HOMEGROWN and simulations
HOMEGROWN and any other simulations we publish are teaching instruments. They simplify real economies by design. Simulation outcomes do not predict real-world results and should not be cited as forecasts or used as the basis for policy or investment decisions.
7. Practitioner briefs
Briefs reflect our analysis as of their publication date and may become outdated. You may share briefs in their complete, unmodified form with attribution. Republishing, excerpting for commercial use, or presenting our analysis as your own requires written permission.
8. Government and organizational engagements
Services we deliver to economic development organizations and other government or institutional clients are governed by separate written agreements, statements of work, or procurement contracts. Where those agreements conflict with these terms, the signed agreement controls for that engagement. Fees for engagements are set by contract.
9. Intellectual property
The Services and all content we provide, including tools, frameworks, assessments, simulations, briefs, text, graphics, and the Thornebridge Strategies name and marks, are our property or licensed to us, and are protected by intellectual property laws. We grant you a limited, non-transferable, non-exclusive license to use the Services for your own professional purposes. You may not copy, resell, redistribute, or create derivative works from our materials, and you may not use them to build a competing offering.
10. Acceptable use
You agree not to misuse the Services. That includes: no unlawful use, no attempting to breach or probe security, no scraping or bulk downloading of content, no uploading malicious code, no misrepresenting your identity or affiliation, and no using the Services to harass or defraud anyone.
11. Your submissions
If you submit information through our forms or tools, you confirm you have the right to share it. We use what you submit to deliver the Services. If you send us feedback or suggestions, you grant us the right to use them without restriction or compensation. Do not submit confidential information you are not authorized to share.
12. Third-party services and links
The Services may reference or link to third-party platforms and websites, including form-processing providers and our sister organization's site. We do not control third parties and are not responsible for their content, terms, or practices.
13. Disclaimer of warranties
The Services are provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or that content is complete or current.
14. Limitation of liability
To the fullest extent permitted by law, Thornebridge Strategies and its founders, officers, and personnel will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost funding, or lost data, arising from your use of the Services. Our total liability for any claim will not exceed the amount you paid us for the Service giving rise to the claim in the twelve months before the claim arose, or one hundred dollars if you paid nothing. Liability under signed engagement contracts is governed by those contracts.
15. Indemnification
You agree to indemnify and hold harmless Thornebridge Strategies from claims, damages, and expenses, including reasonable attorney fees, arising from your misuse of the Services or your violation of these terms. This section does not apply to government entities to the extent prohibited by applicable law.
16. Termination
You may stop using the Services at any time. We may suspend or terminate access if you violate these terms or if we discontinue a Service. Sections that by their nature should survive termination survive.
17. Governing law and disputes
These terms are governed by the laws of the State of [Florida / New Mexico, confirm with counsel], without regard to conflict of law rules. Before filing any claim, you agree to contact us and attempt in good faith to resolve the dispute informally for 30 days.
18. Changes to these terms
We may update these terms from time to time. When we do, we will post the revised version here and update the date above. Continued use of the Services after changes take effect means you accept the revised terms.
